2023 Written Consent for Amendments to Articles of Association

To: All Voting Members of the American Club in China

The Articles of Association (AOA) proposed amendments did not pass at the AGM this year, due to an average of 185 abstention votes out of 700 received for each proposal.

As we continue to grow and adapt to changing circumstances, it becomes crucial to ensure that our governing document remains relevant, compliant, and aligned with our collective goals.

To facilitate your understanding of the proposed amendments, we have attached Comparison Tables of Amendments to the ACC Articles of Association, highlighting the specific changes for your review.

Pursuant to Article 84 of the Articles of Association, amendments must be by consent of more than three-fourths (3/4) of attending members or written consent of more than two-thirds (2/3) of all members.

WHEREAS, the Board of Governors intends to amend the Articles of Association as follows and to seek the written consent of more than two-thirds (2/3) of all Members, 1370 with voting privileges, pursuant to Article 84 of the Articles of Association.

NOW, THEREFORE, please kindly provide the written consent on a ballot enclosed if agreed to the amendments.
